Hyperscale Data is taking steps to form Patriot BTC, a proposed subsidiary designed to hold its Bitcoin mining operations and related infrastructure as a distinct business. The company said the initial transfer is expected to include its Montana data center, Bitcoin miners, mining equipment and associated infrastructure.
The September 22 announcement separates the proposed mining business from Hyperscale Data’s Michigan AI data center strategy. Management said the structure is intended to give Bitcoin mining its own operational focus around mining economics, fleet performance, power costs and infrastructure while its data center teams concentrate on developing the Michigan campus.
The infrastructure distinction matters because Hyperscale Data ended Bitcoin mining at its Michigan facility on September 1 as the site prepared for AI computing infrastructure. The company’s existing agreement calls for an initial 20 MW deployment and gives the customer rights to another 32 MW of critical AI compute capacity. Hyperscale Data has described a much larger long-term power-development opportunity at the campus, although expansion depends on engineering, financing, utility capacity and other conditions.
Patriot BTC is expected to concentrate the company’s remaining mining assets around Montana. The proposed structure would put the Montana facility, ASIC fleet and supporting mining infrastructure inside one dedicated operation. For mining operators, the move highlights the increasingly distinct economics of ASIC fleets and powered data center real estate as AI infrastructure competes for electrical capacity.
Hyperscale Data has not completed the formation of Patriot BTC and has not approved a final transaction structure. Management may recommend a future transaction intended to position Patriot BTC within a publicly traded entity, but any move would remain subject to board approval, securities laws, exchange requirements, tax and accounting considerations, capitalization decisions and other conditions.
The announcement therefore represents a proposed corporate and infrastructure separation rather than a completed spinoff. Additional disclosures are expected as the company determines Patriot BTC’s capitalization, final contributed mining assets and potential transaction structure.
