Shareholders of Bitcoin treasury company Strategy approved changes allowing its four U.S.-listed preferred stocks to accrue dividends for every calendar day, including weekends and holidays, at a special meeting on Wednesday, October 28, 2026. Executive Chairman Michael Saylor said 99.3% of votes cast supported the proposal, while the company’s Form 8-K confirmed the required shareholder approval based on preliminary voting results. The changes still require the amended share terms to be filed and take effect.
The decision extends Strategy’s digital credit strategy, which raises capital using preferred securities alongside its Bitcoin holdings. It changes the frequency of dividend record and payment dates, not the securities’ contractual dividend rates or the total regular dividend obligation.
STRC Moves First, Followed by Three Other Preferred Shares
The variable-rate Stretch (STRC) preferred is scheduled to begin daily record dates on November 1, 2026, with its first payment on November 2. The Strife (STRF), Strike (STRK) and Stride (STRD) series follow on January 1, 2027, with their first payments due January 4. Those dates are contingent on the amended terms becoming effective.
Under the mechanics in Strategy’s definitive proxy statement, dividends for Saturday and Sunday may share the previous business day’s record date and be paid together on Monday. That means “daily dividends” does not necessarily mean a cash deposit reaches investors seven days a week. Brokerage settlement and record-date rules still matter.
Why the Vote Matters for Strategy’s Bitcoin Financing
Strategy argues shorter dividend intervals could improve liquidity and make its preferred offerings more attractive. Those are corporate objectives, not assured market outcomes. Its financing approach has already prompted analysis of credit risk and liquidity, while competitors such as Strive are developing their own Bitcoin-linked preferred securities.
Preferred shares are not insured bank deposits, and dividends depend on the applicable terms and declarations. Investors should distinguish Strategy’s large Bitcoin treasury from direct ownership or a guaranteed claim on those coins. The next test is whether the new settlement cadence works as planned and actually changes demand for the four instruments.
