Faraday Future has signed definitive agreements to transfer its robotics business to FF EAI Robotics Ecosystem Inc. in an all-stock deal that values the robotics operation at about $200 million. The SEC filing says the transaction agreement was signed October 12 and is expected to close by the end of October, subject to its remaining conditions.
FFR is valued at about $60 million on a fully diluted basis before the transaction. It plans to issue shares to Faraday Future at $2.246 each, roughly 50% above FFR’s $1.50 closing price on October 12. The companies say the structure is intended to reduce dilution and separate the robotics operation into a listed vehicle.
Investor discussion has focused on the $200 million valuation, financing needs and whether the standalone structure can accelerate commercialization.
Faraday Future’s earlier robotics launch shows the product families being moved into the proposed standalone robotics company.
The company announcement also says FFR has secured up to $10 million in PIPE financing. Calling the resulting company the first U.S.-listed pure-play humanoid and bionic EAI robotics company is a company claim, not an independent market designation.
The transaction arrives as robotics companies race to convert demos into repeatable businesses. For FFR, the next test is whether the spinout can turn those robotics assets into sustained revenue rather than simply a new corporate structure.
