Five9 Signs $325M Level AI Deal as Q3 Profit Falls

An enterprise contact center must route calls, interpret customer questions, retrieve account records and transfer complex problems to human staff. Artificial intelligence can transcribe conversations, recommend answers and automate selected steps, but the software needs secure access to systems of record and reliable human escalation. The resulting technology is becoming both a software business and a consolidation opportunity.

Five9 announced on November 5, 2026 that it had signed an agreement to acquire customer-service software developer Level AI for approximately $325 million in cash. The pending deal would give Five9 conversation analytics and AI tools capable of operating alongside existing third-party or on-premises contact centers, rather than requiring an immediate migration to Five9. Five9’s announcement targets closing before the end of 2026, subject to customary conditions.

An AI purchase aimed beyond Five9’s own customers

Level AI develops applications for coaching agents, analyzing conversations and automating customer interactions across voice and digital channels. Five9 says Level AI processes more than one billion customer interactions annually and already serves companies including Chime, Gusto and VistaPrint. That figure represents company-reported processed interactions, not unique people, automated resolutions or newly acquired Five9 customers.

The strategic difference is distribution. Five9 serves more than 4,000 customers across over 140 countries. Level AI applications are planned for sale either as standalone software working with other contact-center systems or inside Five9’s Genius CX Platform. The companies have partnered since 2022; a completed ownership transfer and successful integration remain future events.

For comparison, Cloudflare’s agent-access controls address how AI software interacts with websites, while GitLab’s AI development context concerns software engineering. Neither is a direct substitute for processing customer-service conversations.

Revenue grows while GAAP profit declines

On the same day, Five9 reported $323.3 million in third-quarter revenue, up from $285.8 million a year earlier. The 13.1% calculated increase closely matches the company’s rounded 13% growth statement. Subscription revenue rose 16%, according to the earnings release. Neither total revenue growth nor subscription growth establishes Level AI’s future sales contribution because the acquisition has not closed.

The earnings trend was less favorable. GAAP net income decreased from $18.0 million to $14.5 million, approximately 19.4%. GAAP gross margin fell from 55.0% to 53.4%, a decline of 1.6 percentage points. Operating cash flow also slipped from $59.2 million to $58.4 million, although reported non-GAAP adjusted EBITDA increased from $71.7 million to $81.2 million.

Two separate zero-baseline comparisons: GAAP net income decreased from $18.0 million to $14.5 million, while non-GAAP adjusted EBITDA rose from $71.7 million to $81.2 million.

Adjusted EBITDA excludes certain expenses and therefore cannot replace GAAP profit when judging underlying profitability. Five9’s adjusted EBITDA margin remained 25.1% in both comparable quarters. An investor evaluating the acquisition should distinguish operating growth, earnings quality and the $325 million cash consideration. Paymentus’s latest earnings comparison similarly demonstrates why payment activity, GAAP profit and adjusted figures require different denominators.

What investors and customers still cannot know

The agreement’s cash price is subject to customary adjustments for debt, cash and working capital, according to Five9’s SEC Form 8-K. The companies did not publicly provide Level AI’s standalone revenue, operating profit, integration budget or a quantified cost-savings target. Five9 also said its published financial guidance excludes contributions from the pending acquisition.

The technology creates an opportunity to analyze more calls, but enterprises will still need to assess data privacy, recording consent, model errors, customer authentication and human oversight. Retrieval-augmented generation offers context for systems that reference enterprise information before answering, though Five9 has not attributed the new deal’s financial value to a single retrieval technique.

The business case rests on bringing AI applications to organizations regardless of their underlying contact-center provider. Whether Level AI can expand adoption without eroding margins remains unproven. For now, Five9 has signed a $325 million agreement while reporting rising revenue, lower GAAP profit and a larger non-GAAP earnings figure—a more complicated picture than an acquisition headline alone.
